Station Casinos' Stockholders Approve Company's Proposals

LAS VEGAS -- (PRESS RELEASE) -- Station Casinos, Inc. (NYSE:STN) today announced the results of the matters voted on at its 2005 Annual Meeting of Stockholders (the "Annual Meeting"), which was held yesterday at Green Valley Ranch Station Casino in Henderson, Nevada.

At the Annual Meeting, the Company's stockholders re-elected two directors, Frank J. Fertitta III, Chairman of the Board and Chief Executive Officer, and Lee S. Isgur, an independent member of the Board, each to serve a term of three years. The Company's stockholders also approved the Company's 2005 Stock Compensation Program and ratified the appointment of the Company's independent auditors, Ernst & Young LLP, for 2005.

The Company's stockholders also voted down three non-binding proposals submitted by UNITE HERE, an affiliate of the Culinary Workers' Union Local 226 (the "Union"), and the holder of 262 shares of the Company's common stock. The Union, which has been engaged in a long-running campaign to unionize the Company's workforce, commenced a proxy contest to solicit support for certain corporate governance proposals. These proposals were unanimously opposed by the Company's Board of Directors.

Corporate Election Services, the independent inspector of elections for the Annual Meeting, has certified the voting results. Based upon its report, the Company prevailed on all of its proposals and the Union failed to receive requisite shareholder approval for its proposals. The independent inspector of elections reported that the Union failed to submit any ballots or valid proxies and, therefore, the voting results do not include any votes received by the Union on its form of proxy. Had such shares been voted by the Union, the Company believes that it would have still prevailed on at least two of the three non-binding proposals, with the third proposal being too close to call.
