SCH and SC Gaming will jointly develop Happy Valley Casino

(PRESS RELEASE) -- SC Gaming LLC and Saratoga Casino Holdings LLC announced the closing of their previously disclosed Framework Agreement, under which SCH has become the majority owner of Happy Valley Casino, a Category 4 gaming facility planned for State College, Pennsylvania.

Under the terms of the agreement, SCH and SC Gaming will jointly develop and manage Happy Valley Casino, combining Saratoga Casino Holdings’ extensive operational experience with SC Gaming’s local leadership and project development expertise.

Eric Pearson will continue to server as Chief Executive Officer of SC Gaming and General Manager of Happy Valley Casino, where he will lead the joint venture and oversee development and future operations.

Happy Valley Casino is targeting a grand opening in April 2026, subject to receipt of all required approvals from the Pennsylvania Gaming Control Board.

At opening, Happy Valley Casino is expected to employ over 300 team members. In preparation, the Happy Valley Casino Dealer School is now active, with more than 100 students currently enrolled and training for careers in table games and casino operations.

The Dealer School is located at the Happy Valley Casino Hiring Center in the Nittany Mall, directly across from the U.S. Army Recruitment Office, providing workforce development opportunities for the local community.

When completed, Happy Valley Casino is planned to feature approximately 600 slot machines, 30 table games, and two food and beverage venues - Aces Social and Lucky Break Café. The facility will operate as a fully non-smoking casino, with initial operating hours from 10:00 a.m. to 2:00 a.m. daily.

Innovation Capital served as financial advisor to SC Gaming in connection with the transaction. Additional information regarding the project will be released as regulatory milestones are achieved.
