Better Collective nears Playmaker Capital acquisition with shareholder approval

(PRESS RELEASE) -- Playmaker Capital Inc., the digital sports media company that delivers authentic content experiences through its portfolio of sports media brands, is pleased to announce that holders of its common shares have voted in favor of the previously announced acquisition of Playmaker Capital by Better Collective A/S by way of plan of arrangement under the Business Corporations Act (Ontario) at the Company’s special meeting of shareholders held on 22 January 2024.

The completion of the arrangement requires the approval of: (i) at least two-thirds of the votes cast at the Meeting in person or by proxy by Company Shareholders; and (ii) a majority of the votes cast at the Meeting in person or by proxy by Company Shareholders, excluding votes of persons whose votes must be excluded in accordance with Multilateral Instrument 61-101 - Protection of Minority Security Holders in Special Transactions (“MI 61-101”).

Subject to receipt of a final order in respect of the Arrangement from the Ontario Superior Court of Justice (Commercial List), approval from the Minister of Canadian Heritage and satisfaction or waiver of the other conditions to closing contained in the arrangement agreement with Better Collective dated 6 November 2023, as amended on 8 December 2023, the Arrangement is expected to close in early February.
